
Kinsale Associates, Inc. is an LLC providing strategic advice to corporate management teams when considering mergers or acquisitions, growth capital, or other change in control matters. Michael Kelly is the CEO providing the M&A services and he is an actively involved investor and board member on several public and private boards.
The primary focus for Mr. Kelly is being a trusted advisor to C level executives and boards (advisory board services). With an extensive background of over 100 completed transactions, he guides C level executives through M&A issues of price, process, timing and certainty of close. Mr. Kelly has done transactions with companies from 15 countries. His transactions were completed with public and private companies, private equity, hedge funds, venture capital and individuals. Mr. Kelly has worked in or been an advisor to technology/IT in such segments as semiconductor, software, wireless, and capital equipment companies thus giving him extensive domain knowledge. Mr. Kelly has successfully built and sold three consulting businesses to multinational buyers.
Board Experience
Mr. Kelly serves as an active and involved board member. He has extensive public company experience serving as Chairman of the Board, Chairman of Nominating and Governance, Chairman of the Audit Committee, Chairman of the Strategic Committee, and served on the Compensation Committee. He has served on private company boards for late stage, private equity funded companies. Mr. Kelly’s goal is to be active and involved and add value to the management teams involved. Mr. Kelly pursues board involvement to counsel the management team on profitable growth, seek industry insights, and represent the shareholders. Mr. Kelly invests in companies in which he serves on the board.
Mr. Kelly was on the board of Epicor Software (EPIC) when sold to APAX Partners, a private equity group in 2011 as Chairman of the Audit Committee.
Mr. Kelly is currently Chairman of the Board of Adept Technology (ADEP) and in early 2013 announced a turnaround strategy. Public or private, Mr. Kelly works with companies and their management teams seeking profitable growth or seeking to execute a turn-around strategy.
C Level Experience
In 1991, Mr. Kelly was serving as CEO of Emerald Associates when the West Coast investment banking operations of Robert Fleming, a London money manager, were purchased. Emerald Associates was then merged into Broadview International in 1994.
At Broadview International, Mr. Kelly managed Asia, Global Sales Executive and Finance. He then went on to hold positions of Senior Managing Partner, Vice-Chairman and Board member of Broadview International. The investment bank was sold to Jefferies Group (NYSE: JEF). Mr. Kelly remained with Jefferies for a short time after their acquisition, after which he retired.
